Acceptable Use Policy
1. SCOPE.
This Acceptable Use Policy (“Policy”) applies to Client’s use of the Services.
2. LAST UDPATED.
This Policy was last amended by Piano on June 6, 2022.
3. INTERPRETATION.
All terms used in this Policy have the same definition as defined in the Master Services Agreement and its Schedules unless otherwise stated.
4. VIOLATIONS.
Client’s violation of this Policy will be considered a material breach of the Master Services Agreement, its Schedules and/or any other agreement governing Client’s use of the Services.
5. PROHIBITED MATERIAL.
Client may not, without the express written consent of Piano, use the Services to display, store, process or transmit, or permit use of the Services to display, store, process or transmit:
Material that infringes or misappropriates a third party’s intellectual property rights;
Hate-related or violent material, and/or material advocating discrimination against individuals or groups;
Obscene, excessively profane material or otherwise objectionable material;
Material advocating or advancing illegal or unlawful behavior;
Material related to illegal drugs or paraphernalia;
Malicious material
Malicious code, such as viruses, Trojan horses, and other harmful or malicious files, scripts, agents, or programs;
Material that violates, encourages, or furthers conduct that would violate any applicable laws, including any criminal laws, or any third-party rights, including publicity or privacy rights;
unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, excessively profane, hateful, violent, or otherwise objectionable material, or promote, support, or facilitate unlawful, hateful, discriminatory, or violent causes; or
Material that may be harmful to minors.
6. PROHIBITED CONDUCT.
Client must not:
Compromise the integrity, stability and proper functioning of Piano servers and related systems;
Tamper with, reverse-engineer, or hack Piano services;
Remove any copyright, trademark, or other proprietary rights notices contained in or on the Services or reformat or frame any portion of the Services and associated web pages;
Modify, disable or compromise the integrity or performance of the Services or related systems, network or data;
Decipher any transmissions to or from the servers running the Services;
Overwhelm or attempt to overwhelm Piano infrastructure by imposing an unreasonable large load on Piano servers and related systems that consume extraordinary resources such as CPUs, memory, disk space and bandwidth;
Use “robots”, “spiders” or other automated systems to send more requests to Piano severs than a human user could reasonable send in the same period of time by using a normal browser;
Consume a disproportionate amount of storage in a way that is unrelated to the purposes for which the Services were designed;
Whether knowingly or otherwise cause the Licensed Capacity set forth in an applicable Software Schedule or any other agreement with Piano for the provision of the Services to increase by fifteen percent (15%) or more within one (1) month on a rolling basis. or
Use the Services in any manner that would disparage Piano.
7. CONSEQUENCES FOR BREACH.
Violations of this Policy may result in:
immediate removal of the offending materials or suspension of the offending activity without notice to Client;
blocked access to, or partial or full suspension of Services;
other reasonable actions appropriate to address the violation, as determined by Piano in its sole discretion. Piano shall make reasonable efforts to contact Client so that violations may be addressed voluntarily. However, Piano reserves the right to act without notice to Client to preserve the stable, secure and uninterrupted operations of the Services, as determined by Piano in its sole discretion. Piano may also involve, and will cooperate with, law enforcement agencies and government agencies if criminal activity is suspected. Criminal violations may also subject Client to civil or criminal liability under applicable law.
8. AMENDMENTS TO THE POLICY.
Piano, at its sole discretion, shall have the right to update and amend this Policy from time to time without notice to Client. Such updates will be effective as of the date set forth in Section 2.
